What is a California Statement of Information?
California Statement of Information (SOI), which can also be referred to as California’s Annual Report or LLC-12 form for LLCs, is an important document that should be filed by corporations, LLCs, and other business entities in order to make sure the state has updated information regarding the business. It should contain such information as the company’s address, the names of the officers and directors, its agent, and the description of the nature of its business
The SOI filing obligation holds true for both domestic businesses, i.e., those registered and incorporated in California, and foreign businesses, i.e., companies incorporated outside of the state but registered to conduct business in California.
How Do I File a Statement of Information in California?
- Check your filing period: Verify if your entity type requires annual or biennial filing.
- Gather your current business information: This includes address, officer/director name, registered agent, and optionally stock/membership interest information.
- File with the Secretary of State: Applications can be filed online, via mail, or in person at a Secretary of State location.
- Pay the fee required: The fee charged depends on the entity type.
- Ensure the filing has been recorded: Filed SOIs can be searched using the Secretary of State business search tool.
