What Is Pre-Money Valuation?
Pre-money valuation is a rough estimation of a company’s value at the moment, right before it gets new investments through a financing round. This value is used to assess what proportion of the company ownership investors will get in return for their financing and gives a basis for discussion about the investment terms.
For example, if a startup’s pre-money valuation is $4m and it secures $1m in funding, the post-money valuation would be at least $5m, assuming no other adjustments. The newly acquired investor would be entitled to around 20% share of the company upon investment.
How Is Pre-Money Valuation Determined?
There is no single formula that applies to every startup. Founders and investors may consider factors such as:
- Revenue and growth: Current revenue, growth rate, recurring revenue, and future potential.
- Market opportunity: The size, growth, and competitiveness of the target market.

Pre-Money vs. Post-Money Valuation
The key difference is timing. Pre-money valuation represents the company’s value before the new investment, while post-money valuation reflects its value immediately after the investment.
Post-money valuation = Pre-money valuation + New investment
So, the company should always aim for as high an initial valuation as it is justified without overpraising itself so that the new shareholders are still willing to participate with their initial investment. So, a sound pre-money valuation protects the existing owners from being A lot diluted by new investment without losing the investor’s interest due to underpricing.
